1. Charitable Purpose
Bidding for The Centennial Bike Program ("Program") supports a charitable cause established in memory of Dr. Brijmohan Lall Munjal, Chairman Emeritus. All proceeds from the Program will be donated to said charitable cause (details to be provided).
2. Eligibility
Participation in the Program is limited to Hero MotoCorp Ltd.’s authorized channel partners, supply chain partners, select business associates, and employees in India ("Participants").
3. Registration
Participation in the Program requires registration on the designated bidding page. Registration is free of charge.
4. Registration Period
The registration period for the Program commences on July 4, 2024, and concludes on July 31, 2024.
5. Bidding Period
The bidding period for the Program commences on July 8, 2024, and concludes on July 31, 2024.
6. Capitalization of Centennial Bikes
For operational ease, all Centennial Bikes are capitalised in the name of Hero MotoCorp Ltd.
7. Multiple Bids
Participants are permitted to submit multiple bids to secure the winning position for their chosen Bike Number. New bid by the respective bidder will overwrite the previous bid and the latest bid made by the Participant shall be considered for the bidding.
8. Selection of Winners
A total number of eighty (80) winning bids will be selected.
9. Collector's Edition Numbers
Each Bike is assigned a unique Collector's Edition number (e.g., CE007, CE009). This number is distinct from the Vehicle Identification Number (VIN) or registration number of the Bike.
10. Bidding Process and Reserve Prices
Bidding will be conducted for unique Collector's Edition Numbers (e.g., CE007, CE009). Reserve prices for bidding may vary depending on the selected Collector's Edition Number.
11. Notification of Select Bidders
The top eighty (80) bidders ("Select Bidders") will be notified of their winning status via their email address and/or mobile number registered with Hero MotoCorp Ltd. at the time of registration.
12. Delivery and Payment
Delivery of Centennial Bikes to Select Bidders is contingent upon the full transfer/payment of the winning bid amount to the designated Hero MotoCorp Ltd. bank account number. The specific date and payment process will be communicated separately by Hero MotoCorp Ltd. Failure to make payment by the stipulated deadline will result in the cancellation of the winning bid, with the opportunity passing to the next highest bidder.
13. Vehicle Transfer
Hero MotoCorp Ltd. will initiate the transfer of the Centennial Bike(s) to the Select Bidder(s) upon completion of payment process. The specific date/schedule for delivery process will be communicated separately.
14. Publicity Rights
By participating in the Program, Participants consents and grant Hero MotoCorp Ltd. the irrevocable right to utilize their name, image, voice, and/or participation content for promotional and advertising purposes across various media platforms, including but not limited to the internet, digital media, television, film, radio, and print media. No compensation will be provided for such use unless prohibited by law.
15. Data Privacy
Hero MotoCorp Ltd. will not sell, exchange, transfer, or disclose any personal information shared by Participants during registration or bidding without their prior consent.
16. Participation Costs
Hero MotoCorp Ltd. is not responsible for any expenses incurred by Participants during their participation in the Program, including internet charges and technological issues such as network problems.
17. Disqualification for Non-Compliance
Failure to adhere to the bidding process or participation guidelines will result in disqualification.
18. Incorrect Communication
Hero MotoCorp Ltd. is not responsible for any incorrect communication details provided by Participants or for delays in receiving or failing to receive entries.
19. Taxes and Statutory Costs
Select Bidders are solely responsible for any taxes or other statutory costs (if applicable) associated with the transfer of the Centennial Bike. These costs, along with any incidentals, will be borne by the Select Bidder(s).
20. Reporting Issues
Participants must report any issues with respect to bidding process to the designated mobile number (9228002580) by July 25, 2024. No complaints will be entertained after this date.
21. Right to Modify Terms and Conditions
Hero MotoCorp Ltd. reserves the right to modify these Terms and Conditions, including extending, withdrawing, or discontinuing the Program, at its sole discretion and without prior notice or explanation.
22. Limitation of Liability
Hero MotoCorp Ltd., its affiliates, agents, representatives, owners, distributors, retailers, and advertising/promotion agencies are not liable/responsible for any loss of entries/data for any reason whatsoever including, due to any problems caused by network lines, computer systems, internet service providers, computer service delays, interruptions, failures or overloads, or for lost, misdirected or misplaced entries.
23. No Litigation
Under no circumstance, unless due to willful misconduct or gross negligence, shall Hero MotoCorp Ltd. and/or their directors, employees, officers, affiliates or subsidiaries, be liable to the participants and/or any third party for any lost profits or lost opportunity, indirect, special, consequential, incidental, or punitive damages whatsoever. The Participants specifically agrees not to file in person/through any family member and/or any third party any applications, criminal and/or civil proceedings in any courts or forum in India against Hero MotoCorp Ltd. and/or their directors, employees, officers, affiliates or subsidiaries to claim any damages or relief in connection with the registration/bid under this Program.
24. Binding Agreement
By registering or participating in the Program, Participants’ unconditionally and irrevocably agree to be bound by these Terms and Conditions. The decisions of Hero MotoCorp Ltd. and its representatives regarding running/ process/results of the Program and on all aspects of the bid shall be final and binding on all the Participants.
25. Force Majeure
This Program is subject to the force majeure conditions.
26. Law & Jurisdiction
Any dispute arising out of or in relation to this Program shall construed and enforced according to the laws of the Republic of India and will be subject to the exclusive jurisdiction of the courts in Delhi.
